Additionally, Sarina collaborates closely with financial institutions to navigate complex real estate finance matters.

Sarina’s transactional practice also includes buy-side and sell-side representation in private equity transactions, as well as managing day-to-day corporate matters. This includes drafting, reviewing and negotiating key transactional and ancillary documents for equity transactions, asset sales, corporate reorganizations and newly formed entities. As part of this process, Sarina assists in actively managing the diligence process for her clients. Sarina also assists clients with their corporate governance needs.

• Conducted a comprehensive legal due diligence review of over 50 properties in connection with the sale of a hospital practice, and successfully negotiated the related assignment and guaranty documents.  
• Assisted in the sale of five affiliated hospitalist practices by overseeing the due diligence process, negotiating the purchase and sale agreement along with the related ancillary documents, and drafting the necessary documents to reorganize the companies in connection with the transaction.
• Represented investor member in negotiation and formation of timber harvesting joint venture entity and corresponding negotiation of related property acquisition.
• Represented a national healthcare system to provide multi-state commercial property due diligence for 100+ properties.
• Represented a national lender in connection with a $120 million loan for the acquisition of nine properties.
• Represented a regional lender in connection with financing the acquisition of six gas stations with existing operating leases and prepared the pertinent cross-collateralized and cross-defaulted loan documentation for the transaction.
