Buchanan Negotiates Successful Sale, Closes Deal for Large Long-Term Care Software Company
John Goldsmith and Stephanie Schreiber led a multi-office, multi-disciplinary team in assisting a long-time healthcare software client to close on the sale of its business to a worldwide provider of healthcare software and services on February 22.
Our family-owned client called upon us to reorganize the structure of the company and negotiate the sale, which included retention bonuses and potential earn-out payments for its long-time employees along with a significant purchase price. The team worked with Buchanan attorneys Heather Alleva and Rachel Rossi in our Philadelphia office on disclosure matters, consulted Howard Kline and Bruce Booken on tax and benefits issues, called on Susan Hartman on client-contract matters and Duane Stewart on IP issues, and worked with Shaun Fleming who handled all of the filing and closing matters.
